1. Acceptance of terms
By accessing or using Refenture (the "Service"), operated by Refenture Ltd., you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.
These terms apply to all users of the Service, including Referral Partners, Vendor representatives, and customers.
2. Eligibility and accounts
The Service is invitation-only and intended for business use. You must be at least 18 years old and authorized to act on behalf of the company you represent. You are responsible for keeping your account credentials secure and for activity that occurs under your account.
We may suspend or terminate accounts that violate these terms or that present a risk to the Service or other users.
3. The Service
Refenture is a platform that connects Vendors with Referral Partners who refer prospective customers. The Service helps you publish commission plans, record referrals, manage agreements, track deal progress, and handle consolidated payouts.
We may change, add, or remove features at any time. We will give reasonable notice for material changes that affect how you use the Service.
4. Fees and payments
Current fees for the Service are published on our pricing page, which is the sole source of truth and may change from time to time.
Commission rates between Vendors and Referral Partners, payment timing, and tax handling are governed by the agreement between the relevant Vendor and Referral Partner, facilitated through the Service.
5. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable regulation.
- Submit false, misleading, or unauthorized information about referrals, companies, or contacts.
- Attempt to access accounts or data that do not belong to you.
- Reverse engineer, scrape, or interfere with the Service or its security.
- Use the Service to send spam or unsolicited communications.
6. Content and data
You retain ownership of the content you submit to the Service. You grant Refenture Ltd. a non-exclusive license to host, process, and display that content as needed to operate the Service.
You are responsible for ensuring that you have the right to share any company, contact, or referral information you submit, and that doing so complies with applicable privacy laws.
7. Confidentiality
Information you receive through the Service about other users, their pipelines, or their commercial terms is confidential. You agree not to disclose or use it outside of the legitimate purpose for which it was shared.
8. Disclaimers
The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Refenture Ltd. disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not guarantee that the Service will be uninterrupted, error free, or that any specific referral will result in a deal.
9. Limitation of liability
To the fullest extent permitted by law, Refenture Ltd. will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from your use of the Service.
10. Termination
You may stop using the Service at any time. We may suspend or terminate your access if you breach these terms or if continued access would create risk for the Service or other users.
Sections that by their nature should survive termination, including confidentiality, disclaimers, and limitation of liability, will continue to apply.
11. Changes to these terms
We may update these terms from time to time. If we make material changes, we will notify you by email or through the Service. Continued use of the Service after the effective date of the updated terms constitutes acceptance of those changes.
